  • 2. Accurate Information: You are required to provide truthful, accurate, and complete information during registration, enrollment, and all communications with ExecEdge.
  • 3. Authorized Use: You represent that you have the legal authority to enter into this agreement and that your use of our services does not violate any other agreement to which you are a party.
  • 4. Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • 5. Content Responsibility: You are responsible for any content you submit through our platform, including its legality, reliability, and appropriateness.

Prohibited Activities and Behaviors

The following conduct is strictly prohibited and may result in immediate termination of your access:

  • Violating or attempting to violate the security of our platform, including unauthorized access attempts or system vulnerability testing.
  • Distributing malicious software, viruses, or any code designed to disrupt, damage, or limit functionality of computer systems.
  • Engaging in harassment, intimidation, or discriminatory behavior toward other users, instructors, or staff members.
  • Transmitting unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable material through our services.
  • Infringing upon intellectual property rights of ExecEdge or third parties, including unauthorized copying or distribution of content.
  • Conducting fraudulent activities, including payment fraud, identity theft, or providing false credentials or qualifications.
  • Interfering with or disrupting the operation of our services or the experience of other users.
  • Attempting to reverse engineer, decompile, or disassemble any software or technology underlying our platform.

Content Guidelines and Restrictions

When participating in programs or submitting content to our platform, you agree to adhere to these guidelines:

  • Maintain professional standards appropriate for an executive education environment in all communications and interactions.
  • Respect the confidentiality of fellow participants and refrain from sharing personal information without consent.
  • Avoid submitting content that contains confidential business information that you are not authorized to disclose.
  • Refrain from posting promotional materials, advertisements, or unsolicited commercial content without authorization.
  • Ensure any case studies or examples shared do not violate non-disclosure agreements or confidentiality obligations.

Age Restrictions and Requirements

Our services are designed for professional adults and have specific age requirements:

  • You must be at least 21 years of age to use our services and enroll in our programs.
  • Our executive training programs typically require significant professional experience and senior-level responsibilities.
  • By accessing our services, you represent and warrant that you meet all age and professional requirements.

  • 4. Infringement of intellectual property rights or other proprietary rights of third parties.
  • 5. Any disputes or controversies arising from your interactions with other users or third parties.

Indemnification Scope

This indemnification obligation includes:

  • All legal fees and costs incurred in defending against claims or in enforcing this indemnification provision.
  • Settlement amounts and judgments awarded against ExecEdge arising from your conduct or content.
  • Damages to ExecEdge's reputation, business relationships, or operational capabilities resulting from your actions.
  • This obligation survives termination of your account or discontinuation of services.

Privacy and Data Protection

You acknowledge responsibility for data protection compliance:

  • You are responsible for ensuring that any personal data you submit complies with applicable privacy regulations.
  • You warrant that you have obtained necessary consents when sharing information about third parties.
  • You will indemnify ExecEdge against claims arising from your violation of privacy or data protection laws.

Third-Party Interactions

Regarding interactions with other users and third parties:

  • ExecEdge is not responsible for interactions, agreements, or disputes between you and other program participants.
  • You release ExecEdge from any claims arising from your relationships or transactions with other users.
  • Any business opportunities or partnerships formed through our network are independent of ExecEdge.

Liability and Warranties

Disclaimer of Warranties

ExecEdge provides services on an "as is" and "as available" basis with the following disclaimers:

  • No Warranty of Results: We do not guarantee specific outcomes, career advancement, or organizational performance improvements from program participation.
  • Service Availability: We do not warrant uninterrupted, error-free, or secure operation of our platform or services.
  • Content Accuracy: While we strive for accuracy, we do not warrant that all content is current, complete, or error-free.
  • Third-Party Content: We disclaim responsibility for accuracy or reliability of third-party content, links, or resources.
  • Fitness for Purpose: No warranty is made that our services will meet your specific requirements or expectations.

Limitation of Liability

To the maximum extent permitted by applicable law, ExecEdge's liability is limited as follows:

  • 1. ExecEdge shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
  • 2. Our total liability to you for all claims arising from or relating to our services shall not exceed the total amount paid by you to ExecEdge in the twelve months preceding the claim.
  • 3. We are not liable for losses resulting from unauthorized access to your account due to your failure to maintain security.
  • 4. ExecEdge is not responsible for service interruptions caused by factors beyond our reasonable control.
  • 5. No liability exists for business losses, lost profits, lost opportunities, or damage to business reputation.

Consequential Damages Exclusion

ExecEdge explicitly disclaims liability for the following types of damages:

  • Loss of business opportunities, contracts, or professional relationships allegedly resulting from program participation.
  • Costs of procuring substitute services or alternative training programs.
  • Loss of data or information stored or transmitted through our platform.
  • Career setbacks or employment-related consequences allegedly connected to program content or advice.
  • Damages arising from relationships or connections made through our networking opportunities.

Force Majeure Provisions

ExecEdge shall not be held liable for failures or delays in performance resulting from circumstances beyond our reasonable control, including:

  • Natural disasters, epidemics, pandemics, or other acts of nature affecting service delivery.
  • Government actions, laws, regulations, or orders that restrict or prohibit our operations.
  • War, terrorism, civil unrest, or other similar events disrupting normal business operations.
  • Failure of third-party service providers, telecommunications networks, or internet infrastructure.
  • Cyberattacks, data breaches, or security incidents affecting our systems despite reasonable protective measures.

Legal Information and Dispute Resolution

Governing Law and Jurisdiction

These Terms and Conditions are governed by the following legal framework:

  • These terms shall be governed by and construed in accordance with the laws of, without regard to conflict of law principles.
  • The Tokyo District Court shall have exclusive jurisdiction over any disputes arising from these terms or your use of our services.
  • You consent to personal jurisdiction in Tokyo and waive any objections to venue in this location.
  • Any translation of these terms is provided for convenience only; the English version shall prevail in case of discrepancies.

Dispute Resolution Procedures

In the event of disputes, the following resolution process applies:

  • 1. Informal Resolution: You agree to first attempt to resolve any disputes informally by contacting ExecEdge and providing detailed description of the issue.
  • 2. Good Faith Negotiations: Both parties will engage in good faith discussions to reach a mutually acceptable resolution within 30 days.
  • 3. Mediation Option: If informal resolution fails, disputes may be submitted to mediation before a mutually agreed mediator.
  • 4. Legal Action: Only after exhausting other options may disputes proceed to litigation in the designated jurisdiction.
  • 5. Time Limitations: Any legal action must be commenced within one year of the cause of action arising.

Severability Clause

The enforceability of individual provisions:

  • If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary.
  • The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.
  • Invalid provisions shall be replaced with valid provisions that most closely approximate the original intent.

Terms Modification Policy

ExecEdge reserves the right to modify these Terms and Conditions:

  • We may update these terms at any time to reflect changes in our services, legal requirements, or business practices.
  • Material changes will be communicated through email notification or prominent website notice.
  • Your continued use of services after modification constitutes acceptance of the revised terms.
  • If you disagree with modifications, you must discontinue use of our services and may request account termination.

Entire Agreement

This document, together with our Privacy Policy and any other referenced policies, constitutes the entire agreement between you and ExecEdge regarding use of our services and supersedes all prior agreements, understandings, and representations.
